ICON Equipment – Terms and Conditions of Sale and Service

Effective Date: 08/01/2025
1. Agreement to Terms
Unless otherwise agreed in writing and signed by an authorized officer of ICON Equipment (“ICON”), these Terms and Conditions of Sale and Service (“Terms”) govern the purchase of goods (including new and used equipment, attachments, components, and parts – “Goods”) and services (“Services”) by any individual or entity (“Customer”) from ICON. By placing an order, completing an online purchase, accepting a quote or proposal, or receiving Goods or Services, Customer agrees to these Terms. Any contrary terms provided by Customer (including in purchase orders) are hereby rejected unless accepted in writing by ICON.
2. Orders and Delivery
All orders are subject to ICON’s credit approval and final acceptance. Orders cannot be canceled once issued. Estimated delivery times are for reference only; actual delivery is subject to availability and manufacturer lead times. ICON is not liable for delays due to factors beyond its control, including supplier delays, natural disasters, transportation issues, labor shortages, or regulatory changes.
3. Pricing
Prices for Goods and Services are determined at the time of order, based on ICON’s current price lists and labor rates. Prices are subject to change without notice. Customer agrees to pay all applicable taxes unless a valid exemption certificate is provided. Title passes upon full payment. Risk of loss transfers FOB ICON’s facility or, if shipped directly, FOB manufacturer.
4. Payment Terms
Payment terms are Net 30 for parts and service, Net 10 for equipment, unless otherwise stated in a credit agreement. Customers without an account must pay in advance or upon delivery. Late payments are subject to a 1.50% monthly finance charge. ICON may withhold delivery or service until payment is received.
Repair Order Approval:
Quotes for repair orders are valid for five (5) business days from the date provided. If Customer does not approve or decline the repair within that time, ICON reserves the right to begin charging storage fees of $100 per day, starting on the sixth business day, unless otherwise agreed in writing.
Unclaimed Equipment:
Customer must pick up equipment within two (3) business days after being notified of service completion. Equipment left beyond this period will be subject to storage charges of up to $100 per day. ICON may, in accordance with Arizona law (A.R.S. § 33-1023), sell unclaimed equipment after 30 days if outstanding charges remain unpaid.
5. Warranties
(a) New Goods: ICON passes through manufacturer warranties and is not responsible for warranty terms or coverage.
(b) Used Goods: Warranties on used Goods are limited to those specified in the bill of sale.
(c) Services: Warranty is voided by misuse, unauthorized repairs, improper maintenance, or abuse.
(d) Disclaimer: Except as stated herein, ICON disclaims all warranties, including implied warranties of merchantability or fitness for a particular purpose.
6. Indemnification
Each party will indemnify and hold the other harmless from third-party claims to the extent caused by their own negligence or willful misconduct. Customer shall fully indemnify ICON from all claims related to fire suppression systems.
7. Limitation of Liability
ICON is not liable for indirect, incidental, or consequential damages (e.g., lost profits, downtime). ICON’s total liability shall not exceed the amount paid by Customer for the specific Goods or Services giving rise to the claim.
8. Privacy Policy
ICON collects and uses customer data per its Privacy Policy (available at www.icon-equip.com/privacy-policy). Data may be shared with affiliated service providers or OEM partners for warranty, support, or marketing purposes.
9. Telematics and Equipment Data
If equipment includes telematics systems, data may be transmitted to manufacturers and third parties for service support and product improvement. Customer consents to this data collection unless they opt out in writing.
10. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Arizona. Any disputes shall be resolved in the state or federal courts located in Maricopa County, Arizona. Customer waives the right to a jury trial for all disputes.
11. General Provisions
No amendment to these Terms is valid unless in writing and signed by ICON. Invalid provisions shall not affect enforceability of the remaining Terms. ICON retains all service and transaction records. Equipment may be subject to emissions regulations in certain jurisdictions, including California.
